This End User License Agreement (“EULA”) is a legal agreement between you, the end-user registered customer (“YOU”) and Innovative Edge Group, LLC (“IEG”).  The use of any part of a web service, data, or documentation provided by IEG (“PRODUCT”) constitutes acceptance of this EULA unless separate terms are provided.  If you do not agree to this EULA then do not subscribe, purchase, download, install, or use the PRODUCT.

License Grant

This PRODUCT is licensed, not sold.  IEG grants YOU the non-exclusive and non-transferable license to the PRODUCT to use on your computer as defined in the terms and conditions of this EULA.

Restricted Uses

You may not resell, redistribute, rent, lease, lend, or otherwise grant rights to the PRODUCT or this EULA to any third parties.  You agree not to attempt to reverse engineer, disassemble, or decompile the PRODUCT in any way.

Warranty Disclaimer

IEG disclaims any warranty for the PRODUCT.  The PRODUCT is provided ‘AS IS’ without any express or implied warrant of any kind.  IEG does not warrant or guarantee, nor assume responsibility for the accuracy of data provided by the PRODUCT.  IEG disclaims and expressly excludes all warranties not stated in this EULA, including implied and express warranties and specifically disclaims the warranties of merchantability, fitness for a particular purpose, and non-infringement of third-party rights.

Limitation of Liability

IEG shall not be liable for any damages resulting from the use or inability to use the PRODUCT even if IEG has been advised of the possibility of such damages.

Copyright

You agree that no title to the intellectual property in the PRODUCT is transferred to you.  All title and intellectual property rights in the PRODUCT and the content provided by the PRODUCT is the property of the respective content owner.  This EULA grants you no rights to use said content.  You must not alter or remove any copyright notices on the PRODUCT.

Termination

The license to the PRODUCT will automatically be terminated if YOU fail to comply with this EULA.  In such event, YOU must discontinue the subscription and use of PRODUCT.  IEG reserves the right to terminate the license at any time by delivering notice to YOU.

Miscellaneous Provisions

IEG is not obligated to provide any updates to the PRODUCT.  However, any PRODUCT upgrades and\or support services are subject to the terms and conditions of this EULA.  IEG reserves the right to change any part of this EULA with or without notice.  IEG can change the subscription fee at any time.  New subscription fees will not apply to pre-paid periods.

Indemnification

If YOU distribute any part of the PRODUCT in violation of this EULA, YOU agree to indemnify and defend IEG from and against any claims or lawsuits including attorney’s fees.
